第 1 章 绪论
1.1 研究背景及意义
经济全球化给企业带来机遇的同时，也带来了很多挑战。
面对这么广阔的经济环境，企业势必向多元化方向发展，因此所带来的竞争也日趋激烈。
若企业及其子公司不能应对这样的环境变化，那么其日常经营势必会受到不小影响，并将其带入经管和财务的风险漩涡中。
在实际的管理活动中，管理者常常将重心放在人资、品牌塑造和经营战略上，而忽视了风险的评估。
尤其是站在集团的角度忽略其下属子公司的风险管控，其表现主要有以下几个：一、风险管控意识不强;二、一味强调多元化发展和多多融资;三、内部员工只追求自身利益;四、收集信息能力薄弱，过时或假的信息使高层做出不恰当的决策;五、集团对下属子公司的治理方法已经过时。
以上的行为均加深了财务风险程度。
因为集团对下属子公司管控和监督不力，导致财务状况危机甚至是破产现象时有发生，因此对集团自身也产生了很多不利的影响。
这其中最典型的例子就是巴林银行集团的倒闭，在全球的商业银行中，具有最老资格的莫过于巴林银行，可见其曾经的辉煌程度，经营史长达两百三十三年，其破产源于新加坡期货公司的违规交易所带来的巨大损失，它的破产在世界范围内引起不小的轰动。
究其破产的根本原因是对子公司失败的风险管控。
在其破产的前夕，当局董事长甚至觉得负债表根本代表不了什么，更不用说对于破产的提前预警。
拜这些管理者的观点所赐，巴林银行迅速走向灭亡。
对于我国而言，“集团公司”是一个很年轻的概念，存在至今不过二十载的时间，但随着经济形势的变化，其发展也呈现出了欣欣向荣的态势，对于我国国民经济的繁荣发展发挥了十分重要的作用。
但相反的是，曾经红极一时的公司也因为风险管控不善最终导致了公司的衰亡。
具有代表性的公司有熊猫集团的 “熊猫移动”子公司，熊猫集团的教训说明，对集团公司的风险管控研究已经是迫在眉睫、刻不容缓了。

1.2 研究思路和方法
本文在撰写前参考了大量的文献，理论结合实际梳理出一条从内到外的风险管控主线。
第一，重新梳理集团的整体架构，研究更有效的子公司管理办法 。
第二，重整重要的财会人员，加强子公司的日常风险防范。
第三，因地制宜，针对不同的子公司类型制定不同的管控方法。
第四，综合研究不同的模式，在充分了解各模式的基础上，结合千方集团的实际情况，提出专门的应对措施。

第 2 章 相关理论综述
国内外不少的专家从财务角度对集团风险管控做了深刻的探究，这些理论是本文课题探究的根基。
当前的研究，主要集中在三个方面：公司治理、内部控制和管理模式，研究者对它们进行研究并不断做出调整，通过多种权益博弈合作的方式构建起完整的管理体制。
针对控股公司，很多母公司加大了对子公司风险的控制，同时还要考虑政府、各级供销商以及职工等对母公司集团风险管控的干扰。
其奋斗目标是一直不变的，那就是集团价值的最优化，提出如何对集团的统筹管理做进一步研究。
上述内容主要是对集团风险管控的理论知识做简单归纳，为本文问题的提出和解决方案的设定以及善后处理奠定了理论根基，为下文的展开论述做好准备工作。
2.1 全面风险管理理论
按照《COSO风险管理整合框架》的内容推断：公司应当把风险管理常态化，公司上至董事会成员，下至一般职员，都应具有风险管理意识。
把风险管理贯彻到工作中的每一天、每一名职员的每一个工作细节之中。
同时，风险管理应当是公司经营策略的一部分，可以满足公司常态管理的需求，可以给股东和企业创造最大的价值，为公司的正常运转和管理活动的开展提供相应保障，争取把风险控制在可以接受的范围之内。
风险管理是一个系统工作，其整个过程中内包含八个影响环节，它们分别为内部环境、目标设定、风险评测、风险应对、控制活动、信息和沟通、监督1，它们之间相互联系且没有先后顺序，并不是环环相扣的关系。
其中，任何一个环节出现变动都会给别的环节带来影响。
它们结合在一起，为实现企业的战略、运营、合规合法性和财务报表可信性四个奋斗目标提供保障。
风险管理关系到企业运用机构中的每一个部门的每一名职员，这些职员可以是公司的决策者、管理层，也可以是一线作业的一名普通职工，每一个工作岗位上的职员都应该对自己工作范围内的风险担负对应的责任。
之外，和集团有关的外部人员，也应该有一定的风险意识，对集团的风险管理发挥应有的优化作用。
所以，企业内的每一个工作人员都要为实现上面的几个目标服务，根据上述几个环节实行风险管理，推动经营活动的开展。
《COSO风险管理整合框架》中，内部控制应该被规划到企业战略之中，让其目标和企业的战略目标保持一致。
在风险评测时，必须对风险出现的几率和其隐藏的深度以及爆发后的影响力进行分析，结合企业对风险的承受能力和风险的评测方式以及风险爆发的时间、范围，考虑风险对公司发展策略的影响。
在风险解析程序中，要全方位测评复合风险，对多种风险纠缠在一起相互干扰影响有一个比较合理的认知。

2.2 委托代理理论和公司治理理论
委托代理理论(伯利，米恩斯，1932)的精髓是：在生产力水平不断上升、经济愈加繁荣的背景下，委托代理关系的出现成为必然。
鉴于社会产品种类的不断增加，劳动分工愈加细化，权利的行使者因为不同的因素失去了使用手中权利的机会。
同时，因为劳动类别细化，很多拥有渊博知识的高科技人才受到委托来处理这一问题。
但是，从履行代理的角度来看，代理人所看到的问题和委托人之间有较大的区别：代理者对其经营活动的态度是不同的，他们希望在此过程中获得一定的回报，追求价值的提升和成本的压缩。
委托人的目标则是增加财富，让财富快速升值。
因为存在上述不同，两组人员非常容易在具体经营活动中因为利益不同而发生矛盾。
假如没有妥善的制度约束，又不能很好地对代理关系进行监督，这就让代理人利用职权之便侵害被代理人的合法权益的行为有了可乘之机。
如此一来，代理关系必然被毁坏3。
公司治理(伯利，米恩斯，1932)指的是对公司内部利益相关者合作状态的分析，找出他们的矛盾点并编制权益均衡体制进行限制，其中可能涉及到股东、公司董事会成员和管理者等，他们对企业的发展战略和利润的分配有直接影响。
公司治理理论的对象是对可以对企业行使权力的人，他们借助企业的资源创造财富，但与此同时，他们也需要承担相应的义务——那就是为企业的将来供应资源。
以公司对企业文化和管理构成的研究为途径，确定管治双方在企业发展过程中的权责关系，保证权利能具体落实，义务也及时履行。
在委托和被托双方，以激励考察制度的设置为桥梁，构建以代理为主要业务的公司治理模型，这不但可以为股东和管理人员落实自己的权利提供帮助，还可以为他们履行各自的义务打下基础，激发了管理人员实行科学管理的决心，让更多工作落实到位。
此外，它可以帮助股东实现价值的最优化，明确自身和管理人员具备的权利，为企业的扩张提供保障。

1情商的涵义
情商又称情感智商[1]，是相对于智商提出来的与一个人成长和事业发展密切相关的全新概念。它反映的是一个人把握和控制自己情绪、对他人情绪的揣测和驾驭、承受外界压力及挫折与不断激励自己和把握自己心理平衡的能力，属于人的非智力因素的范畴。
2情商培养的必要性
2。1情商与医疗的关系
随着医学模式从单纯的生物医学转变为生物—心理—社会医学模式，医学研究生的整体素质的提高，尤其是情商的培养显得尤为重要。

人，是社会的人。无论是医疗服务或科研攻坚，要想取得辉煌成就，单单依靠个人力量是渺小的，必须融入到团队中去，发挥团队精神。若要保持团队和谐和提高其凝聚力，需要提高每个成员的情商。

医学研究生要增强人际交往的能力，首先要有良好的积极的心理状态，保持热情的态度，知晓人际交往的核心是合作和沟通，在处理人际关系时遵循真诚互助的原则，学会理解与宽容，能够设身处地替别人着想，理解他人，学会求大同存小异;其次，注重人际交往的技能培养，明确四个原则，即平等、相容、互利、信用，要善于结交、善于倾听、善于表达、善于解决各种问题、善于处理各种矛盾，审时度势，把握好度;最后，要学会耐心经营人际关系，善于经营这是一种能力、一种智慧、一种艺术，表现在善于洞察别人的心理状态，注意人际融合能力的锻炼，一句真诚的关心话语，一个会意的笑容和眼神，都会换来宽松和谐的医患人际空间。

科室应重视医学研究生的身心健康，要创新文化载体，科室文化建设中融入情商元素。譬如，开展以情商为主题的文娱活动，组织情商知识竞赛，营造开放性、创新性的团队氛围，提升研究生的团队情商;此外，科室可以邀请一些高情商的成功人士做专题演讲，还应将情商考核作为评优的重要依据。
导师的一言一行都会潜移默化地影响着学生。导师要发挥指导作用，注意加强学生德育及情商教育的培养。同时应多与其他导师沟通交流，提高自己情商的同时，提高对研究生的情商培养。
总之，当代医学研究生的情商培养，不仅是自我能力提升的需要，也是现代医学发展的需要，更是医患和谐的需要。医学研究生在汲取医学知识的同时，也要注重情商培养，努力做到全面发展，成为医学发展的合格人才。

论研究生的教育管理
[摘要]新中国成立以来，我国的科技和经济建设都取得了举世瞩目的成就，而这些成就与我国的教育体制改革及大批创新人才的培养息息相关。文章以研究生教育管理为研究对象，就研究生院建设与研究生教育体制构建的作用、研究生教育管理的特点、出现的问题以及解决方案进行深入的探讨，以使研究生教育更好地为国家建设服务。

一、研究生院建设与研究生教育体制构建的作用
经过近几十年的努力，我国的研究生教育已经取得了快速的发展。1977年至，国家先后批准设立了57所研究生院。这说明我国的研究生教育已从最初的试办阶段走向更成熟的发展阶段。结合我国的基本国情，高校成立的研究生院作为培养高端人才的.特殊机构，在管理的过程中必然离不开学校领导及各部门的支持与帮助。研究生院并不是一个独自进行教学或者科学研究的机构，但如果将其完全地划入高校，它又不同于高校当中的一些部门机构。因此，研究生院要想更好地加强管理，第一，必须和学校里的各个部门进行协调，与学校保持内中有外的关系，包括学校与研究生院各自发挥职责能力的关系，与学校学位机构的并行和互补关系，与各个学院、系以及各个科研所的重要机构、领导配合基层的关系。第二，研究生院作为高校当中的特殊机构，相互之间也形成了一系列的关系，包括学院内教育管理中独立运行的关系，学院内非本系统但仍与研究生院有关的关系，学院内各个管理阶层中以及管理人员与下属职工之间的关系。
理清了各方面的思路，研究生院在组织机构和管理队伍的建设、规章制度及运行机制的建设上都进行了不断的改革和发展。随着研究生院建设力量的加强，国家也加大了对研究生的招生力度，并不断扩张研究生的实习基地，这对于提高我国硕士生和博士生的科研水平有重要的作用。研究生院各项功能的完善对于研究生教育体制的构建与发展起到重要作用，研究生院建设的综合发展形成了更为完善的研究生教育体制。
二、研究生教育管理的特点
研究生教育作为高校教育中的特殊教育，其教育过程与大学其他教育的管理方式必然有所差别，主要体现在以下几方面：
1。规范性与多样性。规范性主要表现在，为更好地培养为社会服务的各个专业的高端人才，就要提高研究生的整体质量，因此全国设置了统一的考试来选拔研究生。多样性主要体现在：
（1）招生方面的多样性。研究生招生计划主要采取计划任务和调节计划互相结合的体制，学校在自身条件允许的范围内，结合社会需求，招收相应的委培生和自费生。
（2）课程设置方面的多样性。学校根据研究生的培养要求和方案，在课程的开设上充分考虑到各个导师在学术研究上的专业能力以及其他师资问题，从而更好地调动每位导师的积极性。
（3）类型结构方面的多样性。研究生从层次方面分为硕士研究生与博士研究生。从类型结构方面，分为研究性与应用性两种方式，这也就必然会在目标培养、课程设置以及培养方案上产生显著的差别。
2。学生的自主性与导师的指导性。学生的自主性主要体现在：
（1）参与制订培养方案。研究生们根据自己的学习能力和水平，在导师们的指导下制定出适合自身的学习、研究方案来开展研究学习。
（2）亲身参与课程的安排。研究生们在导师们的指导下，结合自身的能力、兴趣与水平，从中选取自己喜欢的方向进行学习研究。
（3）与自己的导师们一起选择课题。每位学生在导师的指导下，结合自身的能力与特点选择自己的研究方向，在此基础上为自己选择的课题制订相应的计划。
（4）独立完成自己制定的课题研究。导师在课题研究中只是起到点拨的作用，这点对于博士研究生生来讲显得更加突出。
导师的指导性主要体现在：
（1）培养学生开阔视野的能力。这对将来从事研究领域的学生来讲，不仅可以从导师的身上学到扎实的理论知识，而且还可以对自己将来的方向进行正确的定位。
（2）培养学生为科学奉献的精神。这为学生在未来的科学研究中对待研究的严谨态度、不断进取以及敢于怀疑并且为研究事业而奉献自己打好了坚实的基础。
（3）培养学生进行科学研究的能力。导师的言传身教帮助学生形成极强的观察能力，掌握发散思维和集中思维等多种思维方法，提高自己的操作水平。
3。教学管理的系统性和科研管理的专门性。研究生教育经过多年的摸索，已经形成了一套较为完善的教学考核体系。培养研究生的重要目的就是让学生在严格的训练中进行研究学习，从而掌握相应的科研方法、在研究领域获得从事某项科研的能力。所以，专门性在科研管理当中相对于教学方面的全面性和整体性更加重要。研究生的科研工作按不同的环节进行了划分，例如文献的查阅与评析、学位论文的选题和方法论证、科学实验和工程试验、论文的撰写和答辩等，并且每一个环节都有明确的目的、方法、任务、时间以及考评的办法。各个环节不是独立存在的，而是根据相应的目标需要相互结合在一起的。不同领域的研究生在科研管理上也不相同，对学术前沿进行跟踪，从而在管理中体现个性化。
三、研究生教育管理存在的问题
目前，我国研究生教育规模迅速扩大，研究生教育形式呈现多样化模式，现有的研究生管理体制普遍不能适应现状，各个院系参与研究生教育管理的主动性、积极性和创造性没有得到充分发挥。当前，我国研究生教育管理工作中主要存在以下几个问题：
1。管理目标混乱。学校对研究生的教育管理，无论从教育体制还是从课程设置上，都远远高于本科生，但基于研究生教育是为社会培养更高层次人才需求的特殊性，学校管理和制定研究生教育的培养目标在某些方面不是非常明确。因此，如何对研究生教育进行更好的目标管理就成了亟待解决的问题。
2。忽视学生某些环节的教务管理。做好研究生的教务管理才能培养出高质量的研究生，但目前大多数研究生院都存在的问题是，某些环节会忽视学生们的教务管理问题。处于学习阶段的研究生，学习各门课程时都要按照所制订的培养计划进行学习，研究生培养科负责具体落实每位研究生的课程选择、其所学专业是否符合学位的要求等问题。但实际上，对不同年级的学生进行全面管理时，各项工作内容都是错综复杂、相互交叉在一起的，很容易对某一环节疏于管理。
3。学生自我管理相对薄弱。自我管理在培养研究生的过程中有着相当重要的地位，具体包括对自己的心理活动、行为举止以及生理方面的需求进行管理。这对于学生的自我成长、潜能的发挥等都是非常必要的，与社会管理是密不可分的。但是，目前研究生的自我管理相对薄弱，很多研究生并不知道该做什么，没有明确的职业发展目标。即使社会环境再好，弱化了自我的管理，天资再高也不会取得成功。
四、研究生教育管理存在问题的解决办法
1。加强目标管理。必须要按党和国家的教育方针实施研究生的教育管理，在此基础上结合学生的自身情况制定任务进行管理，包括制定总体目标和分目标。在设立分目标的过程中，一定要确保各职能机构、各岗位、各环节以及各级管理干部都要为总目标的实现承担一定的责任，再调动一切可行的因素、分工协作后确保总目标能够顺利完成。要想实现这些必须要考虑到经济的发展和社会所需，紧紧地抓住提高培养质量这一中心任务。只有坚持这一目标才能为国家和社会培养出合适的高端人才。总体目标确定以后，要确保分配到各个部门去实施，具体来讲应该分为研究生院、所在系部和研究所以及教研室三级。研究生院主要的任务就是制定培养研究生的方针政策以及关注管理中存在的细节问题，同时对所在的系和所提出的培养计划有制约作用。所在的系和所要在配合各研究生院制定目标的前提下，根据自身的实际情况制定出适合自己的分目标。而教研室在这三级当中所起的作用更是不容忽视的，它既要负责给学生们推荐适合自己的导师、审查各专业的任课老师、考核学生成绩，又要负责学生论文的审阅和答辩等相关工作，同时还要关注学生的学习和生活情况、做好学生思想政治方面的教育工作。
2。重视每个环节的研究生教务管理。研究生的教务管理，具体来讲主要是在学院领导以及导师的协助下对学生进行培养。研究生教务管理按照有关规定布置任务、检查工作，最后对检查的数据通过进行概率统计用报表的形式呈现在各级领导面前。研究生的管理和培养是有一定规律的，彼此之间都是互相连接的，比如研究生的招生、入学、选课、论文的选题，到最后的参加答辩以及授予学位等，各个年级的学生在不同的学期都有各不相同的工作内容。要想真正做好研究生的培养工作，就必须对所有的工作环节进行深入了解，找到其中的规律。在培养研究生的全部过程当中，导师起着决定性的作用，研究生的教务管理工作虽然只是起到辅助作用，但也是研究生教育管理中必不可少的重要环节，因此，要想做好教务管理工作，必须要对研究生教务管理工作进行细化和强化。一方面，严格按照研究生个体培养计划，建立完善的信息管理系统;另一方面，对研究生教务管理工作的质量情况进行定期检查。
3。发挥学生的自我管理。学校管理和自我管理两种管理方式越协调、目标越一致，所收到的整体管理效果就会越好。虽然研究生教育强调个体的主观能动性，但更多要靠后天的努力。是否具有很强的自我管理能力，对一个人的成功与否有着很大的关联作用。那些对自我要求相对严格的学生，既能充分利用身边的有利条件、克服对自己不利的因素，同时还能够把对自己不利的因素转化成有利于自己的因素，从而帮助自己更好地成长。在研究生阶段是否具有极强的自我管理能力，对于学生的科研以及将来的工作都是十分重要的。要想在研究生阶段取得一定的成就，必须加强自我控制和管理能力。研究生们必须尽可能地去认识自己、了解自己，只有这样才能有所收获。总之，自我管理模式的成功是客观存在的，有些学生自我管理意识薄弱，也没有过多关注这一方面能力的培养，但实际上自我管理对研究生的学习、科研、生活、心理和行为等诸多方面都有重要影响。
社会的发展离不开优秀人才，研究生教育管理的发展关系我国政治、经济、科技、文化等方面的发展。要想让研究生有更好的发展前景，为国家和社会建设作出更多的贡献，必须要结合我国人才需求的实际情况，进一步加强研究生院的建设，进一步完善研究生教育管理体制。只有做好研究生的教育管理工作，才能培养出高质量的研究生，才能研发出更多的科技文化成果，从而更好地为社会和人民服务。

1.语言表达要简洁明了，避免使用太多的专业术语和过分复杂的句子。一方面用人单位不会在一份简历上花费太多的时间;另外一个方面，简洁的语言表述也能体现出你珍惜他人的时间。
2.在求职信的第一个段落当中应该明确地告诉对方你是在何家媒体看到应聘广告以及所要应聘职位的名称，例如your advertisement for (职位名称)a network maintenance engineer in (媒体名称)the april 10 student daily interested me。这样有助于对方了解招聘信息的有效传播途径。
3.语言客观实际。英文求职信中应避免自己的主观判断性的语言和评论性的话语，不要过分渲染自我尤其不要说出与事实不符的能力或特性来。为了避免过多的主观性描述，你可以在自己的简历当中用客观的数字和引述别人的话语来描述自己的.实际情况。例如：i have passed cet-6 with a high mark of 96.
4.重视开头、结尾。在求职信的结尾，我们通常要提及关于希望得到面试的事情。因此，结尾一样要引起重视。在表达自己的这样的意愿的时候，切忌软弱、羞怯的表达方式，例如：if you think i can fill the position after you have read my letter, i shall be glad to talk with you。
5.表现个人特色。求职的信件要具个人特色、亲切且能体现出专业水平。切不可过于随意，也不能拘泥于格式——商业信函应该是一种既正式、又非正式的文体。句子结构和长度应富于变化，使阅信人总保持兴趣。内容、语气、用词的选择和对希望的表达要积极，应该充分显示出你是一个乐观、有责任心、有创造力和通情达理的人。
另外，还有一些内容虽然不属于求职信的一部分，但是也不能忽视，比如纸张的选用，一般采用品质优良的a4打印纸，正文用打印机打印出来。信件的结尾处签名必须是自己的手写签名。
